South Korea’s financial regulator said on October 27 that it is monitoring trading in JYP Entertainment shares after Japanese investment groups announced plans for a tender offer for the K-pop agency, calling the situation highly unusual.
According to Seoul Economic Daily, the Financial Supervisory Service (FSS) said both the regulator and the stock exchange are examining transaction records from before the announcement. “This is a highly unusual case,” an FSS official said.
The scrutiny follows a press release issued the previous day by The Nexrock Group and SVCV, described as Japanese investment capital, saying they were pursuing a stake in JYP. The firms plan to launch a tender offer as early as November for 25 percent to 50 percent of JYP’s outstanding shares, considering a price at a 30 percent premium to the reference share price, with final terms still to be set.
The announcement moved the market sharply. JYP shares closed the October 26 after-hours session at 42,150 won, up 17.08 percent from the regular session close. The stock gave back most of those gains on Monday, but still ended 6.81 percent higher than the previous trading day.
JYP has pushed back on the premise of the deal, saying it “has not received any proposal regarding an acquisition of a stake in the company,” a position it also stated on October 26. The central question is therefore unresolved: the would-be buyers have publicly outlined a tender offer, while JYP says no proposal has reached it.
The regulator’s move is the newest turn in a fast-moving sequence. On October 26, JYP denied reports of a stake pursuit, after a report described a private letter of intent followed by 30 days of negotiations. A tender offer buys shares directly from existing shareholders, and a 25-to-50-percent stake would exceed the mid-teens percentage held by founder and chief producer Park Jin-young together with related parties, as reported on October 26.
The FSS said that if irregularities are found in trading before or after the announcement, the review could be upgraded to a formal investigation. None has been announced. The market now watches whether the buyers publish final tender terms, and whether JYP receives, or again denies receiving, a formal proposal.
